1. Agreement and definitions
These Partner Terms and Conditions (the “Terms”) are an agreement between you (“Partner”) and Tefetro Studio Ltd (“Tefetro”, “we”, “us”, or “our”) for participation in the Tefetro Studio referral partner program (the “Program”).
A “Referral Link” is the unique tracking link issued to an approved Partner. A “Qualifying Sale” is an eligible purchase attributed to that link under section 3, paid to Tefetro, and not cancelled, refunded, reversed, or found to be fraudulent. “Commissionable Amount” has the meaning in section 4.
These Terms govern only your participation in the Program. The customer’s purchase, design, construction, consultation, delivery, and other service arrangements are governed by the separate terms applicable to that customer transaction.
2. Eligibility and approval
- You must be at least 18 years old, have legal capacity to enter into these Terms, and provide complete and accurate application and payment information.
- Applying does not guarantee acceptance. Tefetro may approve, decline, or request more information about an application. We aim to review applications within 48 hours; this is a target, not a guaranteed response time.
- Keep your account credentials secure and promptly tell us if you suspect unauthorised access. You are responsible for activity through your account unless caused by our breach of these Terms or applicable law.
- You may not create multiple accounts, impersonate another person or business, or transfer your account or Referral Link without our written permission.
3. Referral tracking and attribution
A referral is eligible for tracking when a prospective customer follows your Referral Link and our system records the referral. The tracking period is 30 days from that recorded click. The customer must complete and pay for an eligible purchase within that period.
Where our system records valid clicks from more than one Partner, the most recent valid Partner click recorded before the purchase receives attribution. A purchase made on a different device, through an untracked channel, after cookies or similar storage are blocked, or outside the 30-day period may not be attributed to you. We may review reliable evidence of a tracking error and correct an attribution decision where appropriate.
Attribution is subject to browser settings, consent choices, technical availability, and applicable law. The dashboard is the primary record of clicks, attributed sales, and commission status. Contact us within 60 days after a dashboard entry or payout is due if you believe there is an error, and include the relevant order or referral details. Do not send us a customer’s sensitive personal information unless we specifically request it through a secure channel.
4. Commissions and qualifying sales
The current standard commission schedule is:
| Product or service | Commission | Basis |
|---|---|---|
| Architectural plans | 10% | Commissionable Amount |
| Construction services | 8% | Commissionable Amount |
| Expert consultations | KES 500 | Per completed, paid consultation |
| Digital products | 15% | Commissionable Amount |
For percentage commissions, “Commissionable Amount” means the amount Tefetro actually receives for the eligible product or service, excluding VAT and other taxes, discounts, refunded or reversed amounts, chargebacks, and separately stated delivery or third-party fees. No commission is earned on an unpaid, cancelled, fraudulent, refunded, or reversed transaction. A consultation commission is earned only after the customer has paid for and completed the consultation.
Commission is earned once per Qualifying Sale. A later purchase by the same customer earns a commission only if it is separately attributed to your Referral Link under section 3. The Program does not promise lifetime or continuing revenue share on a customer’s future purchases.
We may change rates or eligible products by giving at least 30 days’ notice through the partner dashboard or the email address on your account. A change applies to purchases made on or after its effective date. Commissions already earned before that date remain subject to the rate in effect when the purchase occurred. If you do not accept a change, you may stop participating before it takes effect.
5. Payouts, records, and tax
- We aim to process approved commissions by the 15th day of each month for the preceding month. If that day is not a business day or a payment provider is unavailable, payment may be made on the next business day or as soon as reasonably practicable.
- The minimum payout is KES 2,000. A lower approved balance carries forward until it reaches the minimum. There is no stated maximum payout.
- Payouts are made by M-Pesa or bank transfer using the details you provide. You are responsible for keeping those details accurate. We may delay a payment while verifying your identity, account, tax information, or suspected irregular activity.
- You are responsible for taxes that apply to your income. Tefetro may deduct and remit withholding tax where required by law and will provide a withholding certificate where required. A payout is the net amount after any required withholding.
- Keep your own records and raise a payout query within 60 days of the relevant statement or payment date. We will investigate in good faith using the records reasonably available to us.
6. Promotion rules and disclosures
You must describe Tefetro, its services, prices, qualifications, and the Program accurately. Do not promise a particular approval, construction result, delivery date, discount, commission, or customer outcome unless Tefetro has expressly authorised that claim in writing.
Clearly disclose your relationship with Tefetro wherever you promote a Referral Link. For example: “I may earn a commission if you make a purchase through this link.” The disclosure must be easy to notice and understand before a person acts on the recommendation.
You must not:
- send unsolicited bulk messages, spam, or direct marketing without the consent and opt-out steps required by applicable law;
- make false, deceptive, or unsubstantiated claims, or claim to be a Tefetro employee, agent, architect, contractor, or authorised representative unless separately authorised in writing;
- refer yourself, place orders for yourself to earn commission, create fake leads or transactions, misuse cookies or tracking, or interfere with another Partner’s attribution;
- use unlawful, threatening, discriminatory, or infringing content; violate another person’s privacy; or promote Tefetro through a site or channel that is illegal or primarily promotes these activities; or
- use Tefetro’s name, logos, or other brand assets outside the limited permission in section 8, or buy advertising that implies an official Tefetro channel without our written approval.
You are responsible for your promotional content and the channels you use. Remove or correct content promptly if we reasonably request it to address an inaccurate claim, legal concern, or brand misuse.
7. Privacy and personal information
Use Referral Links so prospective customers can contact Tefetro directly. Do not collect or send us a person’s name, phone number, email, project details, or other personal information unless you have a lawful basis, have given the required privacy information, and the person has authorised that disclosure where required.
If you collect personal information for your own marketing, you are responsible for handling it lawfully, using it only for the purposes explained to the person, protecting it, and honouring objections and opt-out requests. Do not share customer lists with Tefetro or use them to send marketing on Tefetro’s behalf without prior written approval and all legally required permissions.
Tefetro handles Partner account and referral data under its Privacy Policy. That policy explains how to contact us about personal data and exercise applicable data rights.
8. Tefetro name and materials
While you are an approved Partner and comply with these Terms, Tefetro grants you a limited, revocable, non-exclusive, non-transferable permission to use the Referral Link and approved promotional materials solely to promote eligible Tefetro services under the Program. You may not alter our logos or imply that we endorse your business or other products.
Tefetro and its licensors retain all rights in their names, logos, websites, materials, and services. This permission ends when your participation ends or we revoke it. You retain rights in content you create, subject to the permissions and restrictions in these Terms.
9. Relationship between the parties
You participate as an independent contractor. These Terms do not create an employment, agency, partnership, joint venture, franchise, or fiduciary relationship. You may not make a contract, warranty, promise, or commitment on Tefetro’s behalf, negotiate customer terms for us, or collect customer payments for us.
You are responsible for your own operating costs, equipment, licences, and legal obligations, except for taxes that Tefetro is required by law to withhold or remit.
10. Suspension and ending participation
You may leave the Program at any time by stopping promotion and emailing [email protected]. Tefetro may suspend an account or end participation by notice. We may suspend access immediately while investigating suspected fraud, security issues, unlawful conduct, or a material breach.
When participation ends, stop using your Referral Link and remove Tefetro promotional material. We will pay approved, undisputed commissions that remain payable after the applicable cancellation or refund period, subject to the minimum payout threshold and any legally required deductions. We may reverse commissions on cancelled, refunded, charged-back, fraudulent, or otherwise ineligible transactions. We will not withhold an earned commission solely because you have left the Program.
Sections that by their nature should continue after termination, including tax, records, intellectual property, responsibility, liability, and dispute terms, continue to apply.
11. Responsibility and liability
You are responsible for losses, claims, and reasonable costs arising from your unlawful promotion, fraud, infringement, or material breach of these Terms, to the extent caused by your acts or omissions. Tefetro will notify you of a relevant claim and reasonably cooperate with you in responding to it.
The Program and tracking tools are provided as available. We do not guarantee uninterrupted tracking, a particular number of referrals, sales, or earnings, or that every click will be attributed. Nothing in these Terms excludes or limits liability, a consumer right, or another protection that cannot lawfully be excluded or limited under Kenyan law.
To the extent permitted by law, neither party is liable to the other for indirect or consequential loss arising from this agreement. This does not limit liability for fraud, wilful misconduct, or any liability that cannot legally be limited.
12. General terms and contact
These Terms are governed by the laws of Kenya. The parties will first try to resolve a dispute through good-faith discussions. If they cannot resolve it, either party may bring the dispute before a court of competent jurisdiction in Kenya.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. These Terms and any written partner-specific schedule are the entire agreement about the Program. A partner-specific written schedule signed or expressly accepted by both parties prevails over these Terms to the extent of a conflict.
We may update these Terms by posting a new version with a revised effective date and giving at least 30 days’ notice of a material change through the dashboard or your account email. Continued participation after the effective date means you accept the updated Terms. If you do not accept them, stop participating before that date.
Questions or notices about the Program may be sent to Tefetro Studio Ltd at [email protected]. Tefetro Studio Ltd is based in Nairobi, Kenya.
